BUSINESS VALUATION & BROKER’S OPINION OF VALUE:   Our expertise of valuing privately held businesses anchors everything we do. 

BUSINESS SALES/M&A Services:  We run confidential sale processes to transition ownership of your privately held business.  This is a heavily front-loaded process of putting together an Offering Document/Confidential Information Memo (“CIM”) provided to qualified buyers who sign an NDA.  We manage that process from the LOI stage, the Due Diligence stage, the Purchase Agreements stage to the Closing Stage.  The listings we take to market are pre-qualified for SBA acquisition financing which—from the beginning of the sale process-- directs Buyers away from seller-note structures. 

REAL ESTATE VALUATION AND SALES:  The underlying real estate connected to your privately held business can be the single largest component of your Exit Money, but the real estate and the business MUST be valued separately even if the plan is to sell them together.   

EXIT STRATEGIES:  As the owner of a privately held business, the sum of your Exit Money is:

(1) Enterprise value of your business,

(2) The value of any connected Real Estate

(3) The trapped Working Capital in the business (in an asset-sale transaction, the Seller keeps Cash and Net AR). 

Understandably, Sellers are often focused on Enterprise Value, but an effective Exit Strategy must focus on all three components to preserve and maximize Exit Money.
